Terms of Service

§ 1 Scope

(1) These Terms of Service (hereinafter "Terms") apply to all contracts concluded between RADOM UG (haftungsbeschränkt) (hereinafter "Provider") and the customer (hereinafter "User") via the website www.konverter-pro.de and the services offered there.

(2) These Terms apply exclusively. Deviating, conflicting, or supplementary terms of the User only become part of the contract if the Provider has expressly agreed to them in writing.

(3) A consumer within the meaning of these Terms is any natural person who concludes a legal transaction for purposes that can predominantly be attributed neither to their commercial nor their independent professional activity.

§ 2 Service Description

(1) The Provider provides a web-based software for converting bank statements and extracts from payment processing services (e.g. Stripe, PayPal, Shopify) in PDF, CSV, Excel, MT940, and camt.053 format into DATEV format (hereinafter "Service").

(2) The Service includes:

  • Upload and processing of bank statements
  • AI-powered categorization of transactions
  • Export in DATEV ASCII format
  • Storage of conversion history

(3) The exact scope of functions depends on the selected plan (Free, Starter, Professional, Business).

(4) The Service uses Artificial Intelligence (AI) for text recognition and automatic categorisation of transactions. AI processing runs on Microsoft Azure infrastructure (Azure OpenAI) in a data centre within the EU. Uploaded data is processed at runtime only and is not stored by the AI provider or used for model training. By using the Service, the User consents to AI-powered processing of their uploaded data.

(5) The Provider reserves the right to further develop and improve the Service at any time. The scope of functions may change, while essential functions of the booked plan will be maintained.

§ 3 Contract Conclusion and Registration

(1) Use of the Service requires registration. By registering, the User submits a binding offer to conclude a usage contract.

(2) During registration, the User confirms that all provided data is complete and correct. The User undertakes to keep their data up to date at all times.

(3) The contract is concluded when the Provider activates the user account. Activation usually occurs immediately after registration.

(4) There is no entitlement to conclude a usage contract. The Provider may reject registrations without giving reasons.

§ 4 Prices and Payment

(1) The currently valid prices can be viewed on the Provider's website. All prices include statutory VAT.

(2) The free plan (Free) can be used indefinitely without payment obligation. Paid plans are billed monthly or annually in advance.

(3) Payment is processed through the payment service provider Stripe. By subscribing to a paid plan, the User authorizes the Provider to collect due amounts through Stripe.

(4) In case of payment default, the Provider is entitled to block access to the Service until outstanding amounts are settled.

§ 5 Usage Rights and Restrictions

(1) The User receives a non-exclusive, non-transferable right to use the Service within the scope of the booked plan.

(2) The User undertakes to use the Service only for lawful purposes. In particular, it is prohibited to:

  • Use the Service for illegal activities
  • Circumvent technical protection measures
  • Overload or disrupt the Service
  • Share access credentials with third parties
  • Misuse the Service for automated mass processing

§ 6 Data and Confidentiality

(1) The User remains the owner of all data uploaded by them. The Provider does not acquire any rights to user data.

(2) The Provider undertakes to treat the User's data confidentially and to process it only for providing the Service.

(3) The User is responsible for backing up their own data. The Provider recommends regularly creating backups of exported DATEV files.

(4) The User warrants that they are authorised to process all data they upload. If an uploaded document contains personal data of third parties (e.g. bank statements of clients, employees, or business partners), the User must ensure that a sufficient legal basis for processing exists (e.g. client engagement agreement, legitimate interest, or consent of the data subject). The User indemnifies the Provider against all claims by third parties arising from unauthorised data processing.

§ 7 Availability

(1) The Provider strives for high availability of the Service. 100% availability cannot be technically guaranteed.

(2) Scheduled maintenance work is carried out during low-usage periods where possible and announced in advance.

(3) The Provider assumes no liability for force majeure, power outages, telecommunications failures, or similar events.

§ 8 Liability

(1) The Provider is fully liable for damages arising from injury to life, body, or health, as well as for intent and gross negligence.

(2) In case of slight negligence, the Provider is only liable for breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the foreseeable, contract-typical damage.

(3) Liability for the accuracy of AI-generated account assignments is excluded. The User is obligated to verify the results before importing them into their accounting system.

(4) The above limitations of liability also apply in favor of the Provider's vicarious agents.

§ 9 Contract Duration and Termination

(1) The usage contract is concluded for an indefinite period.

(2) The free plan can be terminated at any time without notice.

(3) Paid plans can be terminated with one month's notice to the end of the respective billing period. For annual billing, termination is possible at the end of the contract year.

(4) The right to extraordinary termination for good cause remains unaffected.

(5) Termination can be made via account settings or by email to support@konverter-pro.de.

§ 10 Right of Withdrawal for Consumers

(1) Consumers have a right of withdrawal of 14 days for distance contracts.

Right of Withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract.

To exercise the right of withdrawal, you must inform us (RADOM UG (haftungsbeschränkt), Telemannstr. 2, 60323 Frankfurt am Main, Email: support@konverter-pro.de) of your decision to withdraw from this contract by an unequivocal statement (e.g., a letter sent by post or email).

(2) The right of withdrawal expires prematurely if the Provider has fully performed the service and began execution only after the consumer gave express consent and simultaneously confirmed knowledge of losing their right of withdrawal upon complete contract fulfillment.

§ 11 Final Provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as the protection granted by mandatory provisions of the law of the state of the consumer's habitual residence is not withdrawn.

(2) If the User is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is Frankfurt am Main, Germany.

(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.

(4) The Provider reserves the right to change these Terms with reasonable notice. Changes will be communicated to the User by email. If the User does not object within 30 days, the amended Terms are deemed accepted.
